1. Acceptance of Terms

These Terms of Use (“Terms”) are a binding agreement between you and Jdeation DBA ThoughtStack.ai, a Texas company (“ThoughtStack,” “we,” “us,” or “our”), governing your access to and use of the ThoughtStack.ai website and services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Accounts and Responsibilities

You must provide accurate information when creating an account and keep it up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Notify us promptly if you suspect unauthorized use of your account.
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service.

3. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation.
Infringe the intellectual property, privacy, or other rights of any third party.
Generate, store, or distribute content that is unlawful, harmful, harassing, or deceptive.
Attempt to gain unauthorized access to the Service, other accounts, or related systems, or interfere with the operation of the Service.
Circumvent usage limits, credits, or billing mechanisms, or resell the Service without our permission.

We may suspend or terminate access for violations of this section.

4. Your Content

You retain ownership of the content you create or submit through the Service, including your prompts, chats, Thoughts, and Projects (“User Content”). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely as necessary to operate, provide, and improve the Service — including sending it to third-party AI providers for processing at your direction. You represent that you have the rights necessary to submit your User Content.

5. AI-Generated Output

The Service uses third-party artificial intelligence models to generate responses (“Output”). Output is generated automatically and may be inaccurate, incomplete, outdated, or otherwise unreliable, and may resemble content generated for other users. You are responsible for evaluating Output before relying on it. Output is not professional advice (legal, medical, financial, or otherwise). We make no warranties regarding the accuracy or fitness of any Output.

6. Payments, Credits, and Billing

The Service operates on a pay-as-you-go credit model. Prices include the underlying AI provider's cost plus a management fee, as shown on our pricing page.
Payments are processed by Stripe, our third-party payment processor, and are subject to Stripe's terms.
Credits are deducted based on your usage of AI models. Except where required by law, credit purchases are non-refundable and credits have no cash value and are non-transferable.
We may change pricing prospectively; changes will not affect credits already purchased.

7. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, provisions that by their nature should survive (such as ownership, disclaimers, limitation of liability, and governing law) will survive.

8. Disclaimers of Warranty

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THOUGHTSTACK AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Texas, and you consent to the jurisdiction of those courts.

11. Changes to These Terms

We may modify these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, may provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
